This agreement sets out the terms for the online sale and use of the Roisel service between the parties defined below. It takes effect when the Buyer approves it electronically during registration or payment.

Buyer: the company with the name, legal name, tax office, tax number, address, email, and phone declared at registration and on the panel's Settings page. The Buyer declares that it acts for commercial or professional purposes and is authorized to bind the company.
Subject
The subject is the online, subscription-based provision of the Smart Size Assistant and/or Virtual Try-On modules chosen by the Buyer, and crediting purchased additional credit packs to the Buyer's account. The service description and rules of use are in the Terms of Use; provision is described on the Delivery and Service Provision page.
Nature of the service
- Smart Size Assistant: a widget that gives the Buyer's shoppers a size recommendation on the product page. Recommendation by measurements is free; body type estimation from a photo uses credits.
- Virtual Try-On: generates a virtual try-on image from a shopper's photo showing the product on them; successful results use credits.
- Credits are kept in a separate wallet per module. When credits run out or the subscription is suspended, the relevant widget becomes inactive.
Price and payment
- Subscription and credit pack prices are shown on the payment page and on the site, and include VAT.
- The subscription is monthly or yearly. The yearly fee is 10 times the plan's monthly price (2 months free) and is charged up front in a single payment at the start of the period. For prices shown in US dollars, payment is collected in Turkish lira at the exchange rate at the time of payment.
- Payment is taken through the payment institution iyzico. The card number and security code never reach Roisel's servers and are not stored by Roisel; when the subscription starts, the card is stored by iyzico and iyzico charges it at the start of each period.
- The Buyer explicitly approves automatic renewal when the subscription starts; the subscription is charged automatically to the Buyer's card by iyzico at the start of each period. If a period's payment cannot be collected, the Buyer is given a 3-day grace period from the end of the period; during this time iyzico retries the payment and the Buyer is notified in the portal; if payment is still not made after the grace period, the subscription is suspended, the iyzico subscription is cancelled, and widgets become inactive. The Buyer can turn off automatic renewal in the portal. A successful payment reactivates the subscription.
- Prices and plans may change; a change does not affect the current period's fee and is announced to the Buyer before the next period.
- Invoices are issued based on the billing details the Buyer declared. The Buyer is responsible for their accuracy.
Performance
The service is provided online; there is no physical delivery. When payment is confirmed, the subscription and purchased credits activate immediately.
Term, cancellation and refunds
The subscription renews in the chosen interval (monthly or yearly); the Buyer may request cancellation by email at any time and cancellation takes effect at the end of the monthly period (monthly) or the end of the year (yearly). If the first subscription payment is yearly, the 14-day refund applies to the full yearly fee. The 14-day refund on the first subscription payment and other terms are in the Subscription, Cancellation and Refund Policy, which forms an integral part of this agreement.
Obligations of the parties
The Seller provides the service with reasonable care and minimizes interruptions; the service is provided "as is" and size recommendations and virtual try-on results are assistive estimates. The Buyer protects its account details, uses the widget lawfully, gives its own shoppers the required notices, and obtains the required consents. For widget users' data, the Buyer is the data controller and the Seller the processor; details are in the Privacy Policy.
Intellectual property
Rights in the software and service belong to the Seller. Product data, size charts, and images uploaded by the Buyer remain the Buyer's.
Liability
The Seller's liability is subject to the limits in the Terms of Use. During force majeure (events outside the parties' control such as natural disasters, war, epidemics, communication and infrastructure outages, and third-party provider outages), the parties' obligations are suspended and neither is liable for resulting delays.
Consumer legislation
The service is for businesses. Because the Buyer declares that it acts for commercial or professional purposes, Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts do not, as a rule, apply. If a user is found to be acting as a consumer, the mandatory rights under that legislation are reserved.
Governing law and jurisdiction
Turkish law applies to this agreement. The courts and enforcement offices of Türkiye have jurisdiction; for consumer transactions, the mandatory jurisdiction of consumer arbitration committees and courts is reserved.
Entry into force
The Buyer confirms it has read this agreement and the attached policies and approved them electronically. The Seller keeps the approval record and payment records for the statutory periods.
